Terms of Service

1. Acceptance of Terms

By accessing or using the ProDJ platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service. These Terms apply to all users, including DJs, clients, agencies, event planners, and visitors. We may update these Terms from time to time; continued use after changes constitutes acceptance.

2. Account Registration & Eligibility

To access certain features, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must be at least 18 years old to create an account. Accounts are non-transferable. We reserve the right to suspend accounts with inaccurate information.

3. Platform Services

ProDJ provides a CRM, booking engine, AI-powered tools, website builder, merch store, ticketing, and communication tools for the DJ and entertainment industry. We act as a technology platform facilitating connections between service providers (DJs) and clients. We are not a party to any booking agreement between DJs and clients.

4. AI-Generated Content & Liability

ProDJ offers AI-powered tools including bio generation, playlist creation, flyer design, headshot generation, and voice synthesis. AI-generated content is provided "as-is" without guarantees of accuracy, originality, or fitness for a particular purpose. You are solely responsible for reviewing, editing, and using AI-generated content. ProDJ is not liable for any claims arising from your use of AI-generated content, including but not limited to intellectual property disputes, defamation, or misrepresentation.

5. Subscriptions & Payments

Paid plans are billed on a recurring basis (monthly or annually) via PayMatrix. You may cancel at any time from your dashboard; cancellation takes effect at the end of the current billing period. Refunds are handled on a case-by-case basis within 14 days of charge. Free trials do not require payment and convert to a paid plan only upon explicit upgrade. All prices are displayed in your local currency where supported; exchange rates are approximate.

6. Booking & Event Liability

ProDJ facilitates connections between DJs and clients but is not a party to any booking agreement. Disputes between DJs and clients should be resolved directly between the parties. ProDJ is not liable for the quality, safety, legality, or timeliness of services provided by DJs. ProDJ does not guarantee DJ availability, performance quality, or event outcomes. Cancellation and refund policies for bookings are set by individual DJs or agencies.

7. Intellectual Property

All content, features, and functionality of the ProDJ platform are owned by ProDJ Agency and protected by copyright, trademark, and other intellectual property laws. You retain ownership of content you upload but grant us a worldwide, non-exclusive, royalty-free license to display, distribute, and process it within the platform. You may not reproduce, modify, or distribute platform content without written permission.

8. Acceptable Use

You agree to use ProDJ only for lawful purposes. Prohibited activities include: transmitting harmful, fraudulent, or infringing content; attempting to gain unauthorized access to other accounts or systems; using automated tools to scrape or extract data; impersonating others; distributing malware; and engaging in any activity that disrupts the Service. We reserve the right to suspend or terminate accounts that violate these terms.

9. Data Processing & International Use

ProDJ processes data in accordance with our Privacy Policy. For users in the European Economic Area (EEA), data processing is governed by GDPR. For California residents, CCPA applies. By using the Service from outside the United States, you consent to the transfer of your data to our servers. We implement appropriate safeguards for international data transfers including Standard Contractual Clauses where required.

10. Token System & Usage Metering

Certain AI features consume tokens based on usage. Token balances are non-refundable and expire according to your plan terms. Unused tokens do not roll over between billing periods unless specified in your plan. We reserve the right to adjust token costs for specific tools with 30 days notice.

11. Limitation of Liability

ProDJ is provided "as is" without warranties of any kind, express or implied. We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform. Our total aggregate liability shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD. This limitation applies to the fullest extent permitted by applicable law.

12. Indemnification

You agree to indemnify and hold harmless ProDJ Agency, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

We may suspend or terminate your account at any time for violations of these Terms or for any reason with 30 days notice. You may delete your account at any time from your dashboard settings. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) shall survive.

14. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive your right to a jury trial and to participate in class action lawsuits. For users in the EU, this clause does not affect your statutory rights under consumer protection laws.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. For users in the European Union, mandatory consumer protection laws of your country of residence apply to the extent they provide greater protection.
